1. Acceptance of Terms

By accessing or using the Agentic Bank website, platform, APIs, and related services (collectively, the "Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms constitute a legally binding agreement between you and Agentic Bank ("we," "our," or "us"). You must be at least 18 years old to use our Services.

2. Description of Services

Agentic Bank provides dedicated financial accounts designed for AI agents. Our Services allow you to:

• Create and manage agent-specific bank accounts
• Set spending limits, vendor whitelists, and approval rules
• Connect AI agents to accounts via the Model Context Protocol (MCP)
• Monitor transactions and maintain audit trails
• Fund and withdraw from agent accounts

Banking services are provided through our FDIC-insured partner bank. Agentic Bank is a technology provider and is not itself a bank.

3. Account Registration

To use our Services, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your credentials
• All activity that occurs under your account, including actions taken by connected AI agents
• Notifying us immediately of unauthorized access
• Ensuring your account information remains current

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Agent Accounts and Transactions

You acknowledge and agree that:

• You are solely responsible for configuring spending limits, vendor controls, and approval rules for your agent accounts
• Transactions executed by AI agents connected to your accounts are authorized by you
• Agentic Bank is not liable for transactions that occur within the rules and limits you have configured
• Funds deposited into agent accounts are subject to the terms of our partner bank
• You are responsible for ensuring your AI agents comply with applicable laws and merchant terms of service

5. Fees and Payments

Certain features of our Services may be subject to fees. We will clearly disclose applicable fees before you incur them. Fees may include:

• Account maintenance fees
• Transaction processing fees
• API usage fees for high-volume integrations
• Premium feature fees

We reserve the right to modify our fee structure with 30 days' notice. Continued use after fee changes constitutes acceptance.

6. Prohibited Activities

You agree not to use our Services to:

• Violate any applicable laws, regulations, or third-party rights
• Engage in money laundering, fraud, or terrorist financing
• Circumvent spending controls or security measures
• Interfere with the proper functioning of our platform or infrastructure
• Access other users' accounts or data without authorization
• Use our Services for illegal gambling, prohibited goods, or sanctioned activities
• Reverse engineer, decompile, or attempt to extract source code from our platform

7. Intellectual Property

All content, trademarks, logos, and intellectual property associated with our Services are owned by Agentic Bank or our licensors. You may not copy, modify, distribute, or create derivative works without our written permission.

We grant you a limited, non-exclusive, non-transferable license to use our Services and APIs in accordance with these Terms and our API documentation.

8. Privacy

Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using our Services, you consent to our data practices as described in the Privacy Policy.

9. Disclaimers

Our Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that our Services will be uninterrupted, error-free, or secure. We are not responsible for the actions or decisions made by AI agents connected to your accounts.

10. Limitation of Liability

To the maximum extent permitted by law, Agentic Bank shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of our Services.

Our total liability for any claims arising under these Terms shall not exceed the fees you have paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Agentic Bank, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of our Services, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access to our Services immediately if you violate these Terms or engage in activity that we determine, in our sole discretion, may harm our platform or other users.

Upon termination, any remaining funds in your agent accounts will be returned to you in accordance with our withdrawal procedures and applicable regulations.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Continued use of our Services after changes constitutes acceptance of the revised Terms.
